‘Personal Information’ means the personally identifiable information provided by you in relation to or in connection for the onboarding process as a vendor with RPS. ‘System’ means the computer network or computer system or computer resource of RPS which receives/store your Personal Information.
The purpose of this Policy is to highlight various obligations, best practices and functions that support compliance with applicable data privacy regulations imply to RPS in its role as data controller of Personal Information.
This policy applies to all RPS operating units, and wholly owned subsidiaries worldwide.

How RPS uses your information
Any of the information that RPS collects from you may be used in one or more of the following ways:
To perform business related services: RPS shall collect the information to complete the onboarding process for enrolment and other business purposes.
To share with the customer/client: Your Personal Information such as name, email id or bio may be shared with the customer/client for the purpose of delivering the services.
To process transactions: RPS may use Personal Information along with banking information to process your transactions for salary and expense reimbursement transactions.
To send periodic emails: The email address you provide will be used to send you information, updates or calendar invite pertaining to services.
For Compliance: Your Personal Information may be used to comply with the respective statutory mandates of the government or law enforcement agencies or any other competent authorities, which may be applicable in relation to your employment with RPS.
RPS will collect adequate, relevant and necessary Personal Information, and will process the same fairly and lawfully for the purpose it is collected.
The information held by RPS on the System shall be kept up-to-date. Should there be any change in your Personal Information, you should notify RPS and update your details on the system immediately.
Information Disclosure
Vendor’s are not allowed to share, sell, rent, or trade Personal Information or any other business information received from the RPS with any third parties in the provision of services.
RPS may disclose your Personal Information as it may believe to be necessary or appropriate:
I. under applicable law, including laws outside your country of residence;
II. to comply with legal process;
III. to respond to requests from public and government authorities, including public and government authorities outside your country of residence, for national security and/or law enforcement purposes;
IV. to enforce our terms and conditions; and
V. to allow it to pursue available remedies or limit the damages that it may sustain.
Additionally, in the event of a reorganization, merger, sale, joint venture, assignment, transfer or other disposition of all or any portion of our business, assets or stock (including in connection with any bankruptcy or similar proceedings), RPS may transfer the personal information RPS may have collected to the relevant third party.
D. RPS may share information with governmental agencies or other companies assisting it in fraud prevention or investigation. It may do so when:
I. permitted or required by law; or,
II. trying to protect against or prevent actual or potential fraud or unauthorized transactions; or,
III. Investigating fraud which has already taken place. The information is not provided to these companies for marketing purposes.
Cross-Border Data Transfers
When conducting business, working on Company projects, or implementing new processes or systems, an operation may require the transfer of Personal Information to other entities or third parties that are located outside of the RPS operation’s country of business. While permissible data transfer mechanisms are defined by applicable law or regulation, examples include:
i. a data transfer agreement with the party who will access or obtain the personal information;
ii. Notice to and/or approval from a country’s local data protection authority; or
iii. Notice to and/or consent from the individual whose data is to be transferred.
Consent
Consent is being taken by a “check box” or signature on the vendor registration form confirming the vendor understands and agrees to the collection and processing of their personal information.
Control of your information
RPS also provides you with the right to control their personal information, which includes the right to access, modify, erase, restrict, transmit, or object to certain uses of their information.
You may request to review, correct, update, suppress, or otherwise modify any of your personal information that you have previously provided to RPS via form. You have the ability to update your personal profile at any time. If you have questions about your account or are having trouble accessing your account, you can request help by contacting Human Resources or the IT department. If you have privacy concerns regarding access to or the correction of your personal information, please contact RPS Privacy office, contact information mentioned at Section 14 hereunder.
In your request, please make clear what Personal Information you would like to have changed, whether you would like to have your Personal Information that you have provided to RPS suppressed from our database or otherwise let RPS know what limitations you would like to put on our use of your Personal Information that you have provided to RPS.
While the majority of questions and issues related to access can be handled quickly, complex requests may take more effort and time. In such cases, issues will be addressed, or you will be contacted regarding the nature of the problem and appropriate next steps, within thirty days.
Your personal information is stored in the System. RPS also provides information on your behalf to external vendors for benefits administration.
A. Your personally identifiable information is kept secure. Only authorized employees, and other third-party providers (who have agreed to keep information secure and confidential) have access to this information.
B. RPS ensures that our supplier employs industry standard security measures to ensure the security of information through legally binding terms and conditions. However, users of our website are responsible for maintaining the security of any password, user ID, or other form of authentication involved in obtaining access to secure areas of the website. Access to and use of password protected and/or secure areas of the website are restricted to authorized users only. Unauthorized access to such areas is prohibited and may lead to criminal prosecution.
We keep your Personally Identifiable Information for no longer than necessary for the purposes for which the Personally Identifiable Information is processed. The length of time we retain Personally Identifiable Information for depends on the purposes for which we collect and use it and/or as required to comply with applicable laws and to establish, exercise or defend our legal rights.

Please note, in case you choose to not provide RPS with the consent or withdraw the consent at any given point of time, NIIT shall not be able to provide the services as detailed in section 5.2 of this policy.
